1.General information
Happenings Group A/S, located at Klostergade 56 B, 8000 Aarhus C, CVR no. 40979956, offers ticket sales and event management between organizers and buyers through its platform.
2.Definitions
An event or events refers to all occurrences for which tickets can be purchased through Happenings Group A/S's mobile and web application Happenings (hereinafter referred to as "the App"). Happenings.dk and related subdomains (including happenings.social, happenings.news, and other interfaces) where partners can interact (referred to as "Partners" and "the Partner Module") covers the systems from which a Happenings Partner creates an event. Together, Partners and the App constitute "the Platform". A Happenings Partner (referred to as "HP" or "the Organizer") means the page/school/committee/organization/persons who have created the event and who are listed as its sender. "Offer" refers collectively to tickets, bundles, memberships, and products.
3.Event information
In the following, HP accepts that Happenings Group A/S (hereinafter referred to as "HG", "We", "Our", "Us") stores information about them, as well as about the organizer's events, and acknowledges that HP agrees with the content of these terms and conditions. The organizer is responsible for ensuring that the information passed on to buyers in the App is correct and adequate. The organizer therefore also has free access to change the event's information before the event begins.
4.Intellectual property rights
By creating content/attractions/events on Happenings platform, the organizer grants Happenings the right to copy, display and distribute the content and incorporate it into other works. This permission is irrevocable, perpetual, non-exclusive and global. The organizer warrants that all images, texts and other materials used by the organizer in the Happenings application do not infringe third party rights.
5.Prices
We reserve the right for any errors in our stated prices. Furthermore, we reserve the right to change prices without prior consent. We also reserve the right for sold-out items. All prices are stated excluding VAT.
6.Fees
The organizer's remuneration to Happenings consists solely of commission based on completed sales. The commission is deducted from the total payout to the organizer. The following commission rates apply:
• Admission tickets: 5%, minimum DKK 8.00 ex. VAT. These fee conditions apply unless otherwise specifically agreed in writing between HP and HG. Fees do not include events that are free to attend for the buyer.
• Bundles (combination of ticket + coupon): 4% + DKK 4.00 ex. VAT.
• Memberships: 5%, minimum DKK 8.00 ex. VAT.
• Products (e.g. drink coupons) sold through Happenings: 5%, minimum DKK 2.00 ex. VAT.
• Allocated tickets: Fixed DKK 5.00 ex. VAT, unless otherwise agreed between HP and HG.
• Refunds: DKK 0.00.

Fees are adjusted annually in January in accordance with the increase in the Danish Net Price Index, with a minimum increase of DKK 0.25 on the minimum fee.
The organizer has the option to refund admission tickets ex. fee back to the buyer. This will always be a matter between the buyer and HP. All fees are invoiced to the organizer and deducted from the total payout.
7.Payment
Happenings Group A/S receives payment on account from the buyer on behalf of the organizer with discharging effect. Once the buyer has paid Happenings, the buyer's payment obligation towards the organizer is considered fulfilled. Commission is deducted from the total payout to the organizer. Happenings Group A/S accepts payment with VISA, VISA Electron, Mastercard, PayPal, MobilePay, Apple Pay, Google Pay and ViaBill. Payment will be charged to the buyer's account when the item is shipped. All amounts can be processed in DKK (Danish kroner), EUR (Euro), USD (US Dollar), SEK (Swedish kroner) and NOK (Norwegian kroner), ex. VAT. We reserve the right for pricing errors and sold out/discontinued items.
8.Payout
Cash flows proceed so that the organizer receives ticket revenues after an event has been held. HG receives ticket revenues on account and pays out the ticket price (minus fees) to the organizer. Payout occurs 1-3 business days after the event has been held. Invoices are automatically sent via PDF to financial editors and account owners, and can always be found in the Partner Module. Invoices can be sent via EAN if an EAN number is provided in the Partner Module.
9.Relationship between Happenings Group A/S and organizer
Happenings Group A/S exclusively facilitates the sale of tickets between the buyer and the responsible organizer. Happenings Group A/S acts as a commercial agent for the organizer. Happenings acts independently and continuously in the organizer's name and on their account for the purpose of facilitating the sale of tickets, memberships and access to events. By accepting these partner terms, the organizer grants Happenings power of attorney to: a) negotiate and enter into binding agreements for the sale of offers on behalf of the organizer, b) receive payment from buyers on behalf of the organizer with discharging effect, c) deliver tickets and other offers on behalf of the organizer, and d) handle refunds on behalf of the organizer in accordance with §13. The organizer independently sets prices, terms and capacity for their events. Happenings' remuneration consists solely of commission, cf. §06.
10.Relationship between buyer and organizer
The relationship thus exists between the buyer and the organizer. According to "Act on Certain Consumer Contracts § 17 para. 2 cf. § 9 para. 2 no. 2a", the purchase of tickets is not covered by the right of withdrawal. Happenings Group A/S has no responsibility towards the customer regarding organizers' reconstruction, suspension of payments, bankruptcy, event cancellations, other defects or any other complaints regarding an event. All inquiries regarding this should be directed to the organizer. Information about the organizer's full name, address, phone number, etc. can be obtained from Happenings Group A/S. In case of cancellation, please refer to the responsible organizer for further information and any refund. The organizer reserves the right, in rare and/or extraordinary cases, to replace the ticket with a similar artist/event. Changes in repertoire, partial performance of an event are not equated with cancellation, and therefore the money will not be refunded as a rule. 11.Delivery
Happenings Group A/S delivers the ticket to the buyer on behalf of the organizer. The organizer delivers the event itself to the buyer. The responsibility for the event thus also falls to the organizer. The ticket is delivered as an eTicket. The ticket is then delivered to the buyer in the mobile application Happenings or on the Happenings web app, app.happenings.dk.
12.Right of complaint
The buyer may contact Happenings Group A/S with complaints regarding an event. Happenings will forward the complaint to the responsible organizer. The responsibility for the event and any deficiencies rests with the organizer.
13.Refunds
Whether the buyer is entitled to a refund is solely a matter between the buyer and you as the organizer. Happenings is not authorized to make refunds on behalf of the organizer without prior written permission, unless the situation in question involves an error in the App. If there is a refund, and Happenings Group A/S is still in possession of the purchase amount, Happenings Group A/S will refund the purchase amount on behalf of the organizer. In such cases, the buyer should include transaction information that can be copied from the ticket in Happenings, including order ID, so that the agreed amount can be transferred. The full amount is refunded to the buyer and the fee is deducted from the payout or sent as an invoice in case of cancellation.
14.Return and cancellation rights
According to "Act on Certain Consumer Contracts § 17 para. 2 cf. § 9 para. 2 no. 2a", the purchase of tickets is not covered by the right of withdrawal. The buyer thus cannot, as a general rule, cancel their purchase. There may be a right of withdrawal in the case of add-ons/additions to an event. This will be stated separately when purchasing these additions.
15.Exercise of complaint and/or cancellation rights
If the buyer wishes to exercise their complaint and/or cancellation rights towards the organizer, the buyer must contact the organizer directly and then return the item to them. The organizer will then refund the purchase amount to the buyer. If Happenings Group A/S is still in possession of the purchase amount, the refund may possibly be made by Happenings Group A/S on behalf of the organizer.
16.Termination of agreement
If HP wishes to terminate the use of the platform and cancel the obligations entered into in the Data Processing Agreement, it is HP's account owner who must send an electronic notice containing a deadline for when the collaboration is to be terminated. Regarding deletion policies and data retention, please refer to the Data Processing Agreement entered into between HP and HG.
17.Right to be forgotten/deleted
If a user in the App has sent a request to be deleted, it is a requirement that the request comes from the data controller in accordance with GDPR. This means that the user must contact the data controller, who must subsequently contact Happenings Group A/S.
18.Force majeure
If unexpected and extraordinary circumstances beyond the control of Happenings or the organizer occur, which they should not have taken into account when entering into the agreement, and which they should not have avoided or overcome, including but not limited to strikes, lockouts, war, epidemics, pandemics, IT breakdowns, etc., the agreement's rights and obligations for the parties are suspended for the period that force majeure exists.
19.General terms
These terms and conditions are governed by the general rules of Danish law. Happenings Group A/S reserves the right to change these terms and conditions without prior notice. Changes will then apply to subsequent orders. It is the organizer's responsibility to check whether changes have been made to the terms and conditions.
20.Complaint options
A complaint about a product or service can be submitted to the Center for Complaint Resolution, The Boards' House, Toldboden 2, 8800 Viborg. You can complain to the Center for Complaint Resolution via the Complaint Portal. If you are a consumer residing in another EU country, you can submit your complaint on the EU Commission's online complaint platform at ec.europa.eu/consumers/odr. If you submit a complaint, you must provide our email address: legal@happenings.dk.
